THE SUCCESS VOCABULARY SYSTEM LIMITED LICENSE AGREEMENT

Licensor: Inkdnylon LLC

System Owner: The Success Vocabulary System (SVS)

License Fee: $500 USD (Limited License)

1. Grant of License

Upon payment of $500, the Licensee is granted a non-exclusive, non-transferable, limited-use license to:

• Study The Success Vocabulary System
• Apply the system within personal or internal business operations
• Reference the system in internal decision-making processes
• Use the terminology and structural framework within private work environments

This license does not transfer ownership of intellectual property.
All rights remain with Inkdnylon LLC.

2. Restrictions

The Licensee may NOT:

• Resell the system
• Redistribute materials
• Teach the system publicly for compensation
• Repackage or rename the framework
• Claim authorship or derivative ownership

Unauthorized use voids this agreement.

3. Commercial Use Limitations

The $500 Limited License permits:

• Internal organizational use
• Private application within consulting engagements (non-branded)

It does NOT permit:

• Public certification programs
• Marketing under the SVS name
• Institutional curriculum integration
• Corporate training under the SVS brand

Separate licensing agreements are required.

4. Intellectual Property Protection

All structural framework components, terminology, documentation, and published materials remain the sole property of Inkdnylon LLC.

No ownership rights are transferred under this agreement.

5. Enforcement

Violation may result in:

• Immediate license termination
• Legal enforcement of intellectual property rights
• Financial damages for unauthorized use

6. Limited Availability

This tier may be discontinued at any time.
Future pricing adjustments may occur without notice.

7. No Guarantee Clause

The system provides structural clarity.
Results depend on disciplined application and context.

8. Additional Provision – No Upload, Sharing, or Distribution

The Licensee may not upload, store, transmit, share, publish, distribute, display, reproduce, or make available the Success Vocabulary System or any portion of its materials on any website, digital platform, cloud storage system, shared drive, learning management system, social media platform, AI training system, or third-party database.

The Licensee may not share the system via email, file transfer services, messaging applications, printed duplication, or any other physical or digital distribution method.

Access is limited strictly to the individual purchaser unless otherwise authorized in writing by Inkdnylon LLC under a separate license agreement.

Any unauthorized upload, sharing, duplication, or distribution constitutes a material breach of this agreement and may result in immediate license termination and enforcement action.

9. Educational Purpose and No Professional Advice

The Success Vocabulary System is an educational and informational framework. It does not constitute legal, financial, medical, psychological, accounting, or other licensed professional advice.

Licensee acknowledges that all decisions made using SVS are solely their responsibility. Nothing within the system creates a professional-client relationship.

10. Assumption of Risk

Licensee understands that business and personal decisions involve inherent uncertainty and risk. Outcomes cannot be predicted or guaranteed.

By purchasing or applying SVS, Licensee assumes full responsibility for all actions, implementations, and resulting outcomes.

11. Limitation of Liability

To the fullest extent permitted under Illinois law, Inkdnylon LLC, its member, affiliates, agents, and representatives shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages.

This includes but is not limited to business losses, lost profits, lost opportunities, reliance-based claims, or strategic outcomes.

Total liability, if any, shall not exceed the amount paid for the applicable license.

12. Indemnification

Licensee agrees to indemnify, defend, and hold harmless Inkdnylon LLC from any claims, damages, liabilities, legal fees, or disputes arising from:

• Improper use of the system
• Business or personal decisions made by Licensee
• Violation of this agreement

13. Earnings and Performance Disclaimer

The Success Vocabulary System does not promise revenue, financial gain, performance improvement, or specific business outcomes.

Any examples provided are illustrative only and do not represent guarantees of results.

14. Governing Law and Jurisdiction

This agreement shall be governed by and construed in accordance with the laws of the State of Illinois.

Any dispute arising under this agreement shall be resolved exclusively within the State of Illinois.

15. Binding Arbitration and Class Action Waiver

Any dispute arising out of or relating to this agreement shall be resolved through binding arbitration in Illinois, rather than in court, except where prohibited by law.

Licensee agrees to waive any right to participate in class-action claims or representative proceedings.

16. Acceptance of Terms

By purchasing, accessing, or using The Success Vocabulary System, Licensee acknowledges that they have read, understood, and agreed to this Limited License Agreement and all incorporated legal provisions.

17. Contract Formation and Digital Assent

This Limited License Agreement constitutes a legally binding contract between the Licensee and Inkdnylon LLC.

Purchase, access, download, or use of The Success Vocabulary System constitutes electronic acceptance of this Agreement under applicable electronic signature and commerce laws.

No physical signature is required for enforceability.

18. Injunctive Relief

Licensee acknowledges that unauthorized use or distribution of the system would cause irreparable harm to Inkdnylon LLC.

In addition to monetary damages, Inkdnylon LLC shall be entitled to seek immediate injunctive or equitable relief without the requirement of posting bond.

19. Jury Trial Waiver

To the fullest extent permitted by law, Licensee knowingly and voluntarily waives any right to a trial by jury in any dispute arising from this Agreement.

20. Federal Arbitration Act Applicability

Any arbitration conducted under this Agreement shall be governed by the Federal Arbitration Act.

Arbitration shall be conducted in the State of Illinois before a single arbitrator.

The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, enforceability, or formation of this Agreement.

21. Class Action and Representative Action Waiver

All disputes must be brought in an individual capacity.

Licensee waives any right to participate in class actions, collective actions, or representative proceedings.

22. Severability

If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.

23. Non-Waiver

Failure by Inkdnylon LLC to enforce any provision of this Agreement shall not constitute a waiver of future enforcement rights.

24. Force Majeure

Inkdnylon LLC shall not be liable for failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, governmental actions, internet disruptions, or third-party service failures.

25. Survival

All intellectual property protections, limitation of liability clauses, indemnification obligations, arbitration provisions, and enforcement rights shall survive termination of this Agreement.

26. License Termination and Access Revocation

Inkdnylon LLC may immediately terminate this license upon any breach of this Agreement, including but not limited to unauthorized sharing, uploading, redistribution, resale, public teaching, or misuse of SVS materials.

Upon termination, all rights granted to Licensee immediately cease, and Licensee must discontinue all use of the system.

Inkdnylon LLC may revoke or disable access to any SVS materials, downloads, portals, or accounts associated with the purchase.

Continued use after termination constitutes unauthorized use and may be treated as infringement and/or misappropriation.

27. Arbitration Procedure, Provider, and Fees

Any arbitration shall be administered by the American Arbitration Association (AAA) or, if AAA is unavailable, by JAMS, using the applicable arbitration rules then in effect.

The arbitration shall take place in Illinois, in English, before a single arbitrator.

Prior to initiating arbitration, the parties agree to provide written notice of the dispute and allow thirty (30) days to attempt good-faith resolution.

Each party shall bear its own attorneys’ fees and costs unless the arbitrator determines otherwise under applicable law. Arbitration filing and administrative fees shall be allocated according to the provider’s rules and applicable law.

The arbitrator may award only the relief permitted by this Agreement and applicable law, and may not consolidate claims or preside over any form of class or representative proceeding.

28. Refund, Chargeback, and Payment Dispute Policy

Due to the digital nature of SVS materials and immediate access upon purchase, all sales are final unless otherwise required by law or expressly stated in a written refund policy issued by Inkdnylon LLC.

If Licensee initiates a chargeback or payment dispute for any reason, Inkdnylon LLC may immediately suspend or revoke access to SVS materials pending resolution.

A chargeback or payment dispute may be treated as a material breach of this Agreement and may result in immediate license termination.

Inkdnylon LLC reserves the right to provide the payment processor with evidence of delivery, access logs, and acceptance of this Agreement to contest disputed transactions.

29. DMCA, Monitoring, and Enforcement Notice

Inkdnylon LLC reserves the right to monitor for unauthorized distribution, piracy, and misuse of SVS materials, including issuing takedown notices and pursuing enforcement actions.

If Licensee becomes aware of unauthorized distribution of SVS, Licensee agrees to notify Inkdnylon LLC.

PROFESSIONAL LICENSE

Starting at $5,000

This tier is structured for qualified professionals seeking public-facing integration.

Includes:

• Public consulting under the SVS name
• Marketing and branding usage rights
• Client-facing framework integration
• Eligibility for structured certification pathways
• Annual license renewal

This tier is selective and subject to approval.

ENTERPRISE / INSTITUTIONAL LICENSE

$12,500 to $25,000

Designed for corporations, institutions, training organizations, or executive leadership programs.

May include:

• Internal enterprise-wide integration
• Training rights across departments
• Structured curriculum embedding
• Leadership program inclusion
• Multi-user access
• Contractual brand alignment

Final pricing determined by scope, size, and integration depth.

Application & Approval Requirement (Professional & Enterprise Tiers)

All Professional and Enterprise License tiers require formal application and written approval by Inkdnylon LLC prior to issuance.

Submission of an application does not guarantee approval.

Inkdnylon LLC reserves the right to:

• Approve or deny any application at its sole discretion
• Request additional information
• Modify scope or pricing based on intended use
• Decline applications that conflict with brand positioning

Licenses are granted only after:

• Application review
• Scope confirmation
• Written agreement execution
• Payment processing
